What is a corporate announcement?

It is a filing a listed company sends to the stock exchanges about something that has happened. The exchanges publish it on their websites for everyone at the same time.

Regulation 30 of SEBI's listing rules requires a company to disclose events and information that are material.[S1] "Material" means important enough to matter to investors.

Which events must be announced?

SEBI's Schedule III has two lists.[S1]

  • Always material (Part A, Para A): for example acquisitions, new or revised credit ratings, board meeting outcomes, and changes in directors, key managers or auditors.
  • Material if they pass a test (Part A, Para B): for example new orders outside normal business, plant shutdowns, and pending litigation that may affect the company.

For the second list, SEBI sets a size test. An event passes it if its value or likely impact exceeds the lowest of three figures.[S1]

Those three figures are 2% of turnover, 2% of net worth, and 5% of the three-year average absolute profit or loss.[S1] Companies also judge materiality by other criteria in the same rule.

How fast must a company announce?

Regulation 30 sets outer time limits from the event.[S1]

Kind of eventTime limit
Decision at a board meeting30 minutes from the meeting's close
Board meeting ending after market hours, more than three hours before the next session3 hours from the close
Event arising inside the company12 hours
Event arising outside the company24 hours

Before a board meeting on results, buybacks, dividends or fund-raising, the company gives at least two working days' notice.[S1]

Quarterly results are due within 45 days of the quarter's end. Annual audited results are due within 60 days of the year's end.[S1]

Where do you find announcements?

On the NSE website, the corporate filings section has an "Announcements" page. You can search by company name or symbol, and filter by date and subject.[S2]

BSE's "Corporate Announcements" page lets you do the same, with a category filter.[S3] Most companies file the same document on both exchanges.

Each entry links to a PDF. That PDF is the company's own letter, usually with an annexure that carries the details.

How do you read one?

Start with the subject line. It names the rule the filing is made under, which tells you what kind of event it is.

Hindustan Unilever's filing of 31 Oct 2025 shows the usual layout.[S4] Its subject line cites Regulation 30. Its first sentence names the Schedule III item on pending litigation.[S4]

In the filing · Annexure table, item 2

Type of communication received: Assessment Order u/s 143(3)read with Sec. 144C(13) Income Tax Act, 1961 (ITA)[S4]

The kind of order the company received. Here it is an income-tax assessment order that came with a notice of demand.

In the filing · Annexure table, item 4

Authority from whom communication received: Assistant Commission of Income-Tax, Central Circle 5(2), Mumbai[S4]

Who issued it. For a court case, this would name the court.

In the filing · Annexure table, item 7

Expected financial implications on the listed company, if any:[S4]

The company's own view of the impact. HUL wrote that there is "no material impact on financial, no impact on operation" from the order. This is the company's statement, not a ruling.

In the filing · Annexure table, item 10

Action(s) taken by listed company with respect to the communication:[S4]

What the company plans to do next. HUL said it would file an appeal within the permitted time.

Most announcements follow this pattern: a cover letter, then a table or annexure with the facts SEBI asks for.

What other kinds of announcement will you see?

  • Credit rating changes: Saksoft's filing of 28 Sep 2026 reported that CARE Ratings had upgraded its long-term bank facilities.[S5] See credit rating actions.
  • Board meeting outcomes: Infosys's outcome of 30 Apr 2026 covered several decisions in one filing. One was a request to reclassify two promoter-group members as public.[S7]
  • Clarifications on news: TCS's filing of 12 Aug 2026 answered an exchange query about news reports.[S6]
  • Results, shareholding patterns and pledge disclosures: see quarterly results, the shareholding pattern and promoter pledging.

What is a clarification on news reports?

Large listed companies must confirm, deny or clarify specific reports in mainstream media after a material move in the share price. The deadline is 24 hours from that price move.[S1]

The rule has applied to the top 100 listed companies by market value since 1 Jun 2024.[S8] It has applied to the top 250 since 1 Dec 2024.[S8] Any listed company may also confirm or deny a report on its own.[S1]

In TCS's case, the filing cited Regulation 30(11) and attached a statement by the chairman of Tata Sons.[S6] The TCS governance section records it.

How does Cityfort use announcements?

Cityfort stock pages cite announcements as sources, with their dates. Governance signals, credit ratings and "What changed" items often link to one.

To see them for a company, open any page under all stocks and tap a source id. The numbered source list shows each filing's title, publisher and date.
