What happened at Gensol Engineering in 2025?
Gensol Engineering Ltd was listed on NSE and BSE. SEBI's order describes its work as solar consulting, engineering and construction projects, and leasing electric vehicles.[S1]
It first listed on BSE's SME platform in 2019. It moved to the main boards of BSE and NSE on 3 Jul 2023.[S1]
In early March 2025, two rating agencies cut its bank loan ratings to D, the grade for default. Six weeks later, SEBI passed an interim order against the company and its two promoter-directors.[S1]
This page tells the event from the filings and orders, in date order. It says what each document said, and gives no view on the company, its people or its shares.
What did each filing and order say?
CARE cuts its ratings to D[S2]
CARE Ratings cut Gensol's long-term bank facilities from CARE BB+ (Stable) to CARE D. Its press release cited "on-going delays in the servicing of term loan obligation as per feedback from its lenders". It described Gensol's liquidity as Poor. Gensol filed the rating letter with NSE and BSE on 4 Mar 2025.
ICRA cuts its ratings to D[S3]
ICRA cut ₹2,050 crore of rated bank facilities to its D grade, from BBB- (Stable) and A3. It cited lenders' feedback on delays in debt servicing. It also said "certain documents shared by GEL with ICRA, on its debt servicing track record, were apparently falsified". Gensol filed this on 5 Mar 2025.
Gensol responds to the downgrades[S4]
In an investor release filed with the exchanges, Gensol put the downgrades down to a short-term mismatch in cash. It said "we deny any involvement in falsification claims" and that it would set up a committee to review the matter.
Board approves a stock split[S5][S6]
Gensol's board approved splitting each ₹10 share into ten ₹1 shares, subject to shareholders' approval. Shareholders passed that resolution at an extraordinary general meeting on 12 Apr 2025.
SEBI passes an interim order[S1]
SEBI restrained Anmol Singh Jaggi and Puneet Singh Jaggi, Gensol's promoter-directors, from being its directors or key managerial staff. It barred them and the company from dealing in securities, and put the stock split on hold. It also said it would appoint a forensic auditor. Each direction applied until further orders.
Gensol discloses the order[S7]
Gensol filed the order with NSE and BSE under Regulation 30 of SEBI's listing rules. It said the financial impact "cannot be ascertained at this point in time".
SAT disposes of Gensol's appeal[S12][S10]
Gensol had appealed to the Securities Appellate Tribunal (SAT), which hears appeals against SEBI orders. SAT gave Gensol two weeks to reply to SEBI. It told SEBI to hear the company and then pass an order. Gensol disclosed this on 14 May 2025.
Gensol discloses the forensic audit[S8]
Gensol told the exchanges that SEBI, by a letter of 7 May 2025, had appointed a forensic auditor. That is an accountant who examines the books for misuse of money. The audit covered the four financial years to 31 Mar 2025.
The two promoter-directors resign[S9]
Anmol Singh Jaggi resigned as managing director, and Puneet Singh Jaggi as whole-time director. Both letters said they resigned "due to the direction given under SEBI Interim Order dated April 15, 2025".
IREDA's insolvency petition disclosed[S11]
Gensol disclosed that IREDA (Indian Renewable Energy Development Agency), one of its lenders, had filed a petition at NCLT Ahmedabad. NCLT is the tribunal that handles company insolvency. The petition covered five IREDA loans, and Gensol called the matter sub judice.
NCLT starts an insolvency process[S12][S13]
NCLT Ahmedabad admitted IREDA's petition and started a corporate insolvency resolution process. Gensol's filing of 14 Jul 2026 says the board's powers were suspended and exercised by a resolution professional.
SEBI confirms the interim directions[S12]
After hearing the two former directors, SEBI confirmed every direction of the interim order. It made the directions on Gensol subject to orders of the insolvency tribunal or court. It said its observations were "tentative in nature and pending detailed investigation and forensic audit".
IREDA's order on the loan accounts disclosed[S13]
Gensol's resolution professional filed with NSE a copy of an IREDA order of 9 Jul 2026. The filing said IREDA had declared the company's loan accounts as fraud and reported this to the Reserve Bank of India.
What did SEBI say it found?
SEBI's interim order set out prima facie findings. Prima facie means at first sight: findings made before a full investigation, and before the people named have replied.[S1]
According to the order, IREDA and PFC lent Gensol ₹977.75 crore in term loans. Of this, ₹663.89 crore was for buying 6,400 electric vehicles.[S1]
The order said Gensol had bought 4,704 vehicles. The supplier confirmed selling it 4,704 vehicles for ₹567.73 crore.[S1]
SEBI said money sent to the supplier in most instances went back to Gensol, or on to entities linked to the two promoters.[S1] It said both lenders denied issuing the letters on loan repayment that Gensol had shared with the rating agencies.[S1]
The order said Gensol's first loan default was on 31 Dec 2024. It said Gensol still sent the agencies monthly statements of no default for December to February.[S1]
SEBI described what it saw as "a complete breakdown of internal controls and corporate governance norms in Gensol".[S1]
What did the company and the former directors say?
Gensol denied any involvement in falsification in its release of 5 Mar 2025.[S4]
Before the confirmatory order, the two former directors argued that the findings against them were unfounded and vague. They also said SEBI had not shared the June 2024 complaint behind its examination, SEBI's order records.[S12]
SEBI said they had not successfully rebutted its prima facie findings on diversion of funds.[S12]
Puneet Singh Jaggi told SEBI he was not involved in day-to-day running and signed documents only for compliance. SEBI declined to accept this at that stage and asked its investigators to examine his role.[S12]
Where did the matter stand at the last document?
The confirmatory order of 30 Jul 2025 is the last SEBI order in this case file. It said action would follow the outcome of the investigation and the forensic audit.[S12]
Gensol's filing of 14 Jul 2026 is the last company filing in this case file. It said the company was still in the insolvency process, run by a resolution professional.[S13] So, as of that filing, the matter was ongoing.
Where do these kinds of filings appear?
Each step above was a public document. The same kinds of document appear for any listed company.

- Pledged promoter shares. ICRA's rationale said the promoters had pledged 85.5% of their holding in February 2025, up from 79.8% in September 2024.[S3] Pledges show in the shareholding pattern and in separate disclosures. See promoter pledging and how to read a shareholding pattern.
- Related-party transactions. SEBI's order said the transfers to promoter-linked entities counted as related-party transactions under SEBI's listing rules. It said Gensol allegedly did not disclose them as such.[S1] See related-party transactions.
